1. Agreement to these terms
These terms and conditions form a legal agreement between you and TarsiFlow ("tarsiflow", "we", "us") for your use of the tarsiflow website and application (the "Service"). By creating an account or using the Service you agree to these terms. If you use the Service on behalf of a business, you confirm that you have authority to bind that business, and "you" means that business.
You must be at least 18 years old and able to enter into a binding contract to use the Service.
2. Accounts and workspaces
- You must give accurate information when you register and keep it up to date.
- You are responsible for keeping your password safe and for everything that happens under your account. We recommend turning on two factor authentication.
- A workspace is owned by the person who created it. Owners and admins can invite others, manage settings and manage billing. The workspace owner is responsible for the people they invite.
- Tell us straight away at [email protected] if you think your account has been accessed without permission.
3. Acceptable use
You agree not to:
- break any law, or use the Service to send spam, fraudulent invoices or misleading proposals;
- upload content that is unlawful, infringes someone else's rights or contains malicious code;
- try to access another workspace, probe or bypass our security, or disrupt the Service;
- copy, resell or reverse engineer the Service, except where the law allows it;
- use automated means to scrape or overload the Service.
4. Your content and data
You own the content you put into tarsiflow, including client details, projects, notes, proposals and invoices ("Customer Data"). You give us permission to host, process and display Customer Data only as needed to provide and improve the Service for you.
When you store personal data about your own clients and contacts, you are the data controller and we process it on your behalf as a data processor. You are responsible for having a lawful basis to store that data and for telling those people how you use it. Our privacy policy explains how we handle personal data.
You can export or delete your data at any time. When you delete your account, we delete Customer Data from our live systems within 30 days, and from backups within a further 90 days, unless the law requires us to keep it longer.
5. Fees and payments
Some parts of the Service may be offered free and others may require a paid plan. Where fees apply, the price, billing period and what is included will be shown before you subscribe. Fees are charged in advance, are non refundable except where the law requires otherwise, and exclude taxes unless stated. We will give you at least 30 days notice before changing the price of a plan you already pay for.
6. Payments from your clients
tarsiflow does not process or hold payments between you and your clients. Your clients pay you directly, in whatever way you agree, and you record those payments yourself. You are responsible for the accuracy of your invoices, any taxes due on them, refunds and disputes with your clients.
7. Availability and changes
We work hard to keep the Service available and secure, but we cannot promise it will always be uninterrupted or free of errors. We may add, change or remove features. If we remove a feature you rely on in a paid plan, we will tell you in advance.
8. Our intellectual property
The Service, including its software, design, logo and content we create, belongs to tarsiflow and its licensors. We give you a limited, non exclusive, non transferable right to use the Service under these terms. If you send us feedback, we may use it without any obligation to you.
9. Third party services
The Service works with third party services such as Google sign in and PayPal. Your use of those services is governed by their terms, and we are not responsible for them.
10. Suspension and termination
You can stop using the Service and delete your account at any time from your profile. We may suspend or close an account that breaks these terms, puts other users or the Service at risk, or is required to be closed by law. Where reasonable, we will warn you first and give you a chance to export your data.
11. Disclaimers and liability
The Service is provided "as is" and "as available". To the extent the law allows, we exclude all implied warranties, including fitness for a particular purpose.
To the extent the law allows, we are not liable for indirect or consequential losses, or for loss of profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim, or 100 US dollars if you have not paid us anything. Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.
12. Indemnity
You agree to compensate us for claims made by third parties that arise from your Customer Data or from your breach of these terms, including reasonable legal costs.
13. Governing law
These terms are governed by the laws of the Philippines, and the courts of that jurisdiction have exclusive jurisdiction over any dispute, unless the law where you live as a consumer gives you the right to bring proceedings in your local courts.
14. Changes to these terms
We may update these terms from time to time. If a change is significant, we will tell you by email or in the app at least 14 days before it takes effect. If you keep using the Service after the change, you accept the new terms.
